1.      Fees; Payment Terms.

1.1       Fees and Taxes. Unless Customer is accessing the Services under a free trial subscription, Customer shall pay Marinus Analytics (“Provider”) the fees for the subscription login access to Traffic Jam. All Fees and other amounts payable by subscribing agency (“Customer”) are exclusive of taxes and similar assessments. Customer is responsible for VAT taxes and any other similar taxes, duties and charges of any kind imposed by any governmental or regulatory authority on any amounts payable by Customer hereunder, other than any taxes imposed on Provider's income.

1.2       Payment. Customer shall pay all Fees within 30 days after the date of the invoice therefor. Customer shall make all payments hereunder in British pounds sterling. Customer shall make payments to the account below or as Provider may specify in writing from time to time.

1.3       Late Payment. If Customer fails to make any payment when due then, in addition to all other remedies that may be available: (a) Provider may charge interest on the past due amount at the rate of 1.5% per month calculated daily and compounded monthly or, if lower, the highest rate permitted under applicable Law; (b) Customer shall reimburse Provider for all reasonable costs incurred by Provider in collecting any late payments or interest, including attorneys' fees, court costs and collection agency fees; and (c) if such failure continues for 30 days following written notice thereof, Provider may suspend performance of the Services until all past due amounts and interest thereon have been paid, without incurring any obligation or liability to Customer or any other Person by reason of such suspension.

1.4       No Deductions or Setoffs. All amounts payable to Provider under the Subscription Agreement shall be paid by Customer to Provider in full without any setoff, recoupment, counterclaim, deduction, debit or withholding for any reason (other than any deduction or withholding of tax as may be required by applicable Law).
